Terms of Service

1. Parties

These Terms form a binding agreement between you and Daniel Schlager, an Austrian sole trader (Einzelunternehmer) with registered office at Siezenheimer Straße 35, 5020 Salzburg, Austria, VAT-ID ATU63181005, GISA 32766714 ("Kintari", "we", "us"), for the purchase, license, and use of the Kintari desktop application (the "Software") and this website. The full imprint is published at www.danielschlager.ai. By installing, running, or purchasing the Software you agree to these Terms.

2. Trial

Kintari offers a 14-day evaluation period from first launch. During the trial you may use the Software for evaluation purposes only, on a single device. Trial use is offered as-is, without warranty beyond mandatory statutory rights.

3. License — paid

A purchased license grants you a perpetual, non-exclusive, non-transferable right to install and use the Software on one (1) device under your sole control for the major version you purchased. You may continue to use the exact version you purchased indefinitely; upgrades to later major versions may require a new license.

You may not: (a) resell, rent, sublicense, or redistribute the Software or license keys; (b) reverse-engineer, decompile, or disassemble the Software except to the extent expressly permitted by mandatory law (in particular § 40d Austrian Copyright Act / UrhG for interoperability purposes); (c) remove or alter proprietary notices; (d) use the Software to build a competing product; (e) share your license key with any third party.

4. Price & VAT

The current price is €99 EUR one-time per license. Prices shown on this website are net of value-added tax (VAT). VAT is added at checkout depending on your country and customer status:

  • Consumers (B2C) in EU member states: VAT at your country's rate (Austria: 20%), declared under the EU One-Stop-Shop (OSS) scheme.
  • Businesses (B2B) in EU member states with a valid VAT-ID: reverse charge — the invoice is issued without VAT.
  • Customers outside the EU: typically no Austrian/EU VAT; local import or sales taxes may apply.

Payments are processed by Stripe Payments Europe, Limited. By purchasing, you also agree to Stripe's Terms.

5. Right of withdrawal (EU consumers)

If you are a consumer resident in the European Union, you have the right to withdraw from this contract within fourteen (14) days without giving any reason, in accordance with the Austrian Distance and Off-Premises Sales Act (Fern- und Auswärtsgeschäfte-Gesetz, FAGG). The withdrawal period is fourteen (14) days from the day the contract is concluded.

To exercise your right of withdrawal, you must inform us by an unequivocal statement (e.g. an email) at: Daniel Schlager, Siezenheimer Straße 35, 5020 Salzburg, Austria — support@kintariapp.com. You may use the model withdrawal form provided in Annex I to the FAGG, but this is not mandatory.

Loss of the right of withdrawal for digital content. The Software is "digital content not supplied on a tangible medium" within the meaning of § 18 (1) item 11 FAGG. When you purchase and download the Software, you expressly consent to immediate performance of the contract and acknowledge that your right of withdrawal lapses upon the start of the download. We confirm this consent on your invoice.

If your right of withdrawal is still in effect when you exercise it, we will refund all payments received from you, including standard delivery costs (where applicable), without undue delay and within 14 days of receiving your withdrawal notice, using the same means of payment used for the original transaction unless you have expressly agreed otherwise.

6. Refunds outside the right of withdrawal

Once your right of withdrawal has lapsed (see §5), refunds are at our discretion and do not affect your statutory warranty rights under §7. If you believe your purchase qualifies — for example a duplicate charge — contact support@kintariapp.com within 14 days of purchase and we will review the request in good faith.

7. Statutory warranty (Gewährleistung)

For consumers, the statutory warranty rules under the Austrian Civil Code (ABGB) and the Austrian Consumer Warranty Act for digital content (Verbrauchergewährleistungsgesetz, VGG) apply to defects existing at the time of delivery. The warranty period for digital content is two (2) years from delivery. Where applicable, we will at our reasonable discretion repair the defect, provide a defect-free version, reduce the price, or refund the purchase price in line with the statutory hierarchy of remedies. These statutory rights cannot be limited by these Terms.

8. Updates

Within a major version, we may deliver bug fixes and security updates via automatic updates. Updates necessary to maintain conformity of the Software for consumers under the VGG will be provided for the statutory warranty period. Optional updates may be disabled in settings or by enterprise policy. We may end support for old operating systems or hardware where reasonable.

9. Your data

Kintari stores workspace content, settings, and credentials locally on your device. We do not have access to, and cannot recover, your data. You are responsible for backups. See our Privacy Policy for details on the limited information we process under the GDPR.

10. Disclaimer beyond mandatory rights

Outside the statutory consumer warranty regime described in §7, and subject to §11, the Software and website are provided "as is" and "as available" without further warranty as to fitness for a particular purpose, uninterrupted operation, or freedom from minor errors.

11. Limitation of liability

Subject to mandatory law, our liability is limited as follows:

  • We are fully liable for damages caused by intent or gross negligence.
  • We are fully liable for personal injury (life, body, health) caused by us, and for any other liability that cannot be excluded under mandatory law (including the Austrian Product Liability Act, PHG).
  • For damages caused by slight negligence, we are liable only for breach of essential contractual duties (Kardinalpflichten); liability is limited to foreseeable damages typical for this kind of contract.
  • Any further liability is excluded. The foregoing applies equally to our employees, agents, and contractors.

12. Governing law & venue

These Terms are governed by Austrian substantive law, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive venue for disputes between merchants is the court competent for 5020 Salzburg, Austria. If you are a consumer, you may also bring proceedings in the courts of your EU member state of residence, and the mandatory consumer-protection provisions of your habitual residence continue to apply where they offer a higher level of protection.

13. EU online dispute resolution

The European Commission provides a platform for online dispute resolution (ODR) available at ec.europa.eu/consumers/odr. Our contact address for consumer complaints is support@kintariapp.com. We are not obliged, and not willing, to participate in dispute resolution proceedings before a consumer arbitration board.

14. Export controls & sanctions

You may not use, export, or re-export the Software in violation of EU export-control rules — in particular Regulation (EU) 2021/821 on dual-use items — or applicable EU or UN sanctions, or to any sanctioned country, entity, or person.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be noted by updating the effective date above, and existing customers will be informed in text form (e.g. by email) where required by law. Continued use after an update constitutes acceptance of the revised Terms; consumers retain their statutory right to object to changes that materially affect them.

16. Severability

Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic intent of the original provision.
